In the city of ________________, on this ________ day of ________ of the year ________________, a preliminary contract of sale of real property is entered into by and between ________________, ________________ and _____________, the latter being duly represented by ______________, attorney in fact, hereinafter called VENDOR, parties of the First part, and ________________ and ________________, hereinafter called VENDEE, parties of the second part, under the following tems, to wit:
First. VENDOR hereby under takes to sell to VENDEE a tract ofland, property of the first part, registered under number ___________, lot ________ block ________, in the judicial district of _________________, department, ________________, and being ________________ square meters.
Second. Purchase price is hereby fixed in the sum of $ ________________ (express in words), payable as follows:
a) The sum of pesos $ ________________, hereupon paid to VENDOR by VENDEE as deposit and part of payment of the full purchase price hereof, receipt of which is hereby acknowledged by the former;
b) The sum of pesos $ ________________, to be paid thirty days next following the date hereof, when the contract for sale of the property shall be signed and delivered.
Third. The parties hereto covenant to execute the contract for the sale of the property hereof thirty days next following the date hereinabove written, that is, on ________ which contracts shall be based on the provisions here in and shall further contain the formalities required by the law. Upon the execution thereof, VENDOR shall deliver possession of property unto VENDEE.
Fourth. The parties hereto covenant to execute the deed conveying title Six months as from the date hereof. VENDOR shall conveny good and marketable title, and shall furnish VENDEE, thirty days before the closing date, an abstract of title and all the documents necessary to the execution of said deed.
Fifth. VENDEE being entitled to designate the attesting Notary Public, he appoints ________________ to attest to the execution of the contract of sale and the title deed.
Sixth. In the event of non-fulfilment of any covenant here in, the defaulting party shall be pay the other party the sum of pesos $ ________________, and damages, no judicial or extrajudicial demand being necessary. Should VENDOR be the defaulting party, he shall further repay all and singular sums collected hereunder.
Seventh. Notwithstanding the provision of the second paragraph herein, during thirty days next following the date hereof VENDOR shall examine the offer made by VENDEE hereupon, whereby he proposes to discharge the debt hereby incurred in by delivering Two apartments as payment of the balance of the purchase price hereof. Said apartments are located in the ________________ building, which at present is being erected by ____________, being a member of the Board of Directors thereof. VENDEE may choose both apartments from among the Ones lying on the First to the Fifth floor of said building, and elect to accept payment either wholly in cash, up to the time of execution of the contract of sale.
In accordance where with, both parties sign ________ copies of the same Tenor at the place and on the date First above written, and establish their domicile by choice at the addresses hereinbelow to wit : VENDOR at ________________________, and VENDEE at ________________.
